General Terms and Conditions

WARNING: THE PRODUCTS SOLD ON THIS WEBSITE ARE DEDICATED EXCLUSIVELY FOR SCIENTIFIC RESEARCH AND DEVELOPMENT PURPOSES. THEY ARE NOT FOR HUMAN OR ANIMAL CONSUMPTION. ALL RELATIONS BETWEEN THE COMPANY AND CUSTOMERS ARE CONSIDERED AS B2B (BUSINESS-TO-BUSINESS) OR RESEARCH-RELATED COMMERCIAL RELATIONS.

1. General Provisions and Validity

1.1. These General Terms and Conditions (hereinafter referred to as the "GTC") govern the rights and obligations arising between Peptidos EU, operating the website peptidos.eu (hereinafter referred to as the "Company", "we", or "us"), and the buyer (hereinafter referred to as the "Customer" or "you").

1.2. These GTC apply to all deliveries of goods by the Company exclusively for scientific research, laboratory, and development purposes, as well as to the establishment of Customer Accounts.

1.3. By placing an order or registering an account on peptidos.eu, the Customer acknowledges that they have read, understood, and agreed to be bound by these GTC.

1.4. The Company reserves the right to unilaterally update, amend, or modify these GTC at any time. The modified GTC will be published on the website, and continued use of the website constitutes acceptance of the modified terms.

2. Definitions

"Agreement" means the contract concluded between the Company and the Customer, which incorporates these GTC and the specifics of the Customer's order.

"Goods" or "Products" means the research peptides, chemicals, and any other items offered for sale on peptidos.eu.

"E-shop" means the online store operated by the Company at peptidos.eu.

"Customer Account" means the profile created by the Customer upon registration on the E-shop.

3. Strict Product Use Disclaimer

3.1. Not for Human Consumption: All Goods provided by the Company are intended STRICTLY FOR IN-VITRO LABORATORY RESEARCH PURPOSES ONLY. They are NOT intended for human use, animal use, therapeutic use, diagnostic use, clinical trials, or as food additives, drugs, cosmetics, or household chemicals.

3.2. Assumption of Risk: The Customer acknowledges the inherent risks associated with handling research chemicals. The Customer assumes full responsibility for the safe storage, handling, use, and disposal of the Goods. 3.3. Qualified Personnel: The Goods must only be handled by qualified professionals or researchers who are familiar with the properties and potential hazards of the materials. 3.4. Refusal of Service: If the Company suspects, at its sole discretion, that the Goods are being purchased for human consumption, illicit purposes, or any use other than laboratory research, the Company reserves the right to immediately cancel the order, terminate the Customer's account, and permanently ban the Customer from the E-shop.

4. Customer Account and Security

4.1. Registration: To purchase Goods, the Customer may be required to register a Customer Account. The Customer agrees to provide accurate, current, and complete information during registration.

4.2. Account Security: The Customer is responsible for maintaining the confidentiality of their account password and for all activities that occur under their account. The Customer must notify the Company immediately of any unauthorized use of their account.

4.3. Termination: The Company reserves the right to suspend or terminate a Customer Account at any time if the Customer breaches any provision of these GTC or provides false/misleading information.

5. Ordering and Conclusion of Contract

5.1. Placing an Order: Orders are placed electronically via the E-shop. An order submitted by the Customer constitutes a binding offer to conclude an Agreement.

5.2. Acceptance: The Agreement is formally concluded when the Company sends an email confirming the acceptance and processing of the Customer's order.

5.3. Availability: All orders are subject to Goods availability. If an item is out of stock, the Company will notify the Customer and offer a substitute or a refund.

6. Pricing and Payment Terms

6.1. Prices: All prices listed on the E-shop are in Euros (€) and are inclusive of VAT (unless otherwise stated) and shipping costs. Shipping costs are calculated at checkout.

6.2. Payment Methods: The Company accepts payments via variety of payment methods including direct bank transfer and crypto currency transactions. The Customer must pay the full purchase price before the Goods are dispatched.

6.3. Price Changes: The Company reserves the right to change prices at any time without prior notice. However, the price valid at the time the order is placed will apply to that order.

7. Shipping and Delivery

7.1. Dispatch: The Company aims to dispatch orders within 24-72 hours after receipt of cleared payment.

7.2. Delivery Times: Delivery times are estimates and not guaranteed. The Company is not liable for any delays caused by courier services, customs clearance, or force majeure events. 7.3. Customs and Import Laws: The Customer is solely responsible for ensuring that the purchased Goods are legal to import into their destination country. The Company bears no responsibility for packages seized by customs, and no refunds will be issued for seized goods. 7.4. Transfer of Risk: The risk of damage to or loss of the Goods passes to the Customer upon handover of the Goods to the carrier.

8. Returns and Refunds

8.1. Quality Guarantee: If the Goods received are damaged, compromised, or incorrect due to a fault of the Company, the Customer must notify the Company within 3 days of delivery to arrange a replacement.

8.2. No Standard Right of Withdrawal: Because the Goods are temperature-sensitive scientific research chemicals subject to degradation, all sales are final. We do not accept returns or offer refunds for incorrectly ordered items or if the Customer changes their mind, to guarantee the integrity and purity of the supply chain.

9. Liability and Indemnification

9.1. Limitation of Liability: The Company’s liability for any claim arising out of or relating to the Agreement or the Goods shall not exceed the purchase price paid by the Customer for the specific Goods giving rise to the claim. The Company shall not be liable for any indirect, incidental, special, or consequential damages, or loss of profits.

9.2. Indemnification: The Customer agrees to indemnify, defend, and hold harmless the Company, its directors, employees, and affiliates from and against any and all claims, liabilities, damages, losses, or expenses (including legal fees) arising from the Customer's improper use, handling, or distribution of the Goods, or any breach of these GTC.

10. Privacy and Data Protection

10.1. The Company processes the personal data of Customers in accordance with the General Data Protection Regulation (EU) 2016/679 (GDPR).

11. Intellectual Property

11.1. All content on peptidos.eu, including text, graphics, logos, images, and software, is the property of the Company and is protected by copyright and intellectual property laws. Reproduction, distribution, or commercial exploitation of any content without prior written consent is strictly prohibited.

12. Applicable Law and Dispute Resolution

12.1. Governing Law: These GTC and all Agreements concluded between the Company and the Customer shall be governed by and construed in accordance with the laws of EU, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
